Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Smart Auto Tagging application (“the App”), provided by Smart Auto Tagging (“we”, “us”, or “our”). By installing or using the App, you agree to be bound by these Terms.

1. Use of the App

You may use the App solely for your internal business operations and in accordance with these Terms. You are responsible for ensuring that your use of the App complies with all applicable laws, regulations, and platform policies.

2. Configuration and Merchant Responsibility

The App provides automation tools that execute actions based on rules, conditions, and settings configured by you. You acknowledge and agree that: (a) You are solely responsible for configuring the App correctly. (b) You are responsible for reviewing and testing your rules before enabling them. (c) You are responsible for monitoring the outcomes of your automations. We are not responsible for any consequences arising from incorrect configuration, unintended rule logic, or misuse of the App.

3. No Warranty / As‑Is Basis

The App is provided on an “as‑is” and “as‑available” basis. We make no warranties, express or implied, including but not limited to accuracy, reliability, error‑free operation, uninterrupted availability, or suitability for a particular purpose. You use the App at your own risk.

4. Third‑Party Platforms and Dependencies

The App relies on third‑party systems, including but not limited to Shopify APIs, webhooks, store data, and third‑party integrations. We are not responsible for outages, delays, data inaccuracies, API changes, platform limitations, or failures caused by third‑party services. Any such issues may affect the App’s performance, and we do not guarantee compatibility with future platform changes.

5. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including any loss of revenue, profits, data, orders, customers, goodwill, or business opportunities, whether arising in contract, tort (including negligence), strict liability, or otherwise.

Our total aggregate liability for any claim relating to the App shall not exceed the fees actually paid by you to us for the App in the one (1) month immediately preceding the event giving rise to the claim. If you are on a free plan, our total liability shall be zero dollars (AUD $0).

These limitations apply even if we have been advised of the possibility of such damages, and even if any remedy fails of its essential purpose.

6. Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the App; (b) your configuration, activation, or operation of automation rules; (c) your violation of these Terms; (d) your violation of any applicable laws or third‑party rights; or (e) any actions taken by Shopify or other platforms as a result of your use of the App. This obligation survives termination of your access to the App.

7. Data Handling

The App accesses and processes store data solely as permitted by Shopify and solely for the purpose of providing its functionality. We do not sell, share, or disclose your data except as required to operate the App, comply with legal obligations, or respond to lawful requests. You acknowledge that all store data is provided by Shopify or by you, and we are not responsible for the accuracy, completeness, or availability of such data. We are not liable for any data loss, corruption, delays, or inaccuracies caused by Shopify, third‑party systems, APIs, or platform limitations.

8. Termination

We may suspend or terminate your access to the App at any time, with or without notice, if you violate these Terms, misuse the App, fail to pay applicable fees, create excessive support burden, if platform policies require removal, or if continued operation becomes commercially or technically unfeasible. You may uninstall the App at any time. Uninstalling the App immediately terminates your license to use it and does not entitle you to any refund of fees already paid. Any provisions of these Terms that by their nature should survive termination (including limitation of liability, indemnification, and data handling obligations) shall continue to apply.

9. Modifications

We may update these Terms at any time. Continued use of the App after changes are posted constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws of Australia, without regard to conflict‑of‑law principles.
